TERMS AND CONDITIONS

Price quotes may be subject to changes due to unforeseen alterations in the work. The stated rates and offers do not automatically apply to new assignments. Prices are exclusive of 21% Dutch VAT. For assignments from companies or individuals outside the Netherlands, VAT will be shifted to the respective country. Assignments are automatically confirmed upon approval by the client via post, email, or phone (texts).

Extractum reserves the right to extend the agreed delivery period in times of high demand or other circumstances. Not all files delivered by Extractum are source files or vector files. Source files may be provided upon request but are not obligatory. Delivery of source files will only take place once the client has fulfilled their payment obligations.

Extractum is not liable for claims or legal actions arising from the unlawful submission of materials that violate copyright legislation and/or existing trademarks. The client is solely responsible for the content (such as text) of their website or logo, and Extractum cannot be held liable in this regard.

The client is not permitted to use the graphical outputs (designs) and websites:

• If the payment obligations stipulated in the agreement have not been met.

• If the assignment is terminated prematurely for any reason.

If the conditions are met, the client is granted the freedom to use the design for their own publicity or promotion. All rights are transferred to the client after all payments have been fulfilled (in some cases, an additional buyout fee may be agreed upon, which will always be explicitly discussed in advance). Extractum retains the right to publish designs on its website and portfolio. Extractum is under no obligation to comply with client requests or preferences regarding the publication or any modifications made later to the original design.

If, during the execution of the agreement, it becomes evident that a change or addition to the work is necessary for proper execution, the parties will adjust the agreement accordingly in mutual consultation and in a timely manner.

Both parties are obliged to maintain confidentiality regarding all confidential information obtained from each other or another source within the scope of their agreement. Information is considered confidential if it has been indicated as such by the other party or if its confidential nature can reasonably be inferred.

In the event of termination, Extractum is entitled to compensation for the portion of the work completed. The fee for completed work will be calculated based on our hourly rate and may be charged in half-hour increments.

Payment must be made within 30 days of the invoice date unless otherwise specified. If payment is not made after 30 days from the invoice date and two reminders, additional costs may be charged, such as (extra)judicial costs, legal fees, collection agency fees, and bailiff costs.

If payment of the invoice or any outstanding portion thereof remains unpaid after completion of the assignment and delivery of the files, Extractum will hand the invoice over to a collection agency. In such cases, the collection agency will charge all (extra)judicial, collection, and other related costs to the client.

Extractum does not handle printing directly but can arrange and oversee printing upon request. Extractum is not responsible for deviations or errors in printed materials, provided the client has approved the documents and given explicit consent via email or telephone to place the order with the printer. If printing is subsequently ordered elsewhere or reprinted, color deviations or quality differences may occur, for which Extractum cannot be held liable.

In such cases, the collection agency will charge all (extra)judicial, collection, and other related costs to the client.
